1. Acceptance of Terms
By accessing or using Galy's medical practice management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms apply to all users of the Service, including healthcare providers, practice administrators, staff members, and any other authorized users. If you are using the Service on behalf of a medical practice or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Galy provides a cloud-based medical practice management platform that includes:
- Electronic Medical Records (EMR) management
- Patient scheduling and appointment management
- Prescription management and e-prescribing
- Telehealth and virtual consultation tools
- AI-assisted documentation (Gaia)
- Practice analytics and reporting
- Billing and invoicing tools
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice when possible.
3. User Accounts
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain and update your information to keep it accurate.
- Maintain the security and confidentiality of your login credentials.
- Notify us immediately of any unauthorized use of your account.
- Accept responsibility for all activities that occur under your account.
We may suspend or terminate accounts that violate these Terms or pose a security risk to the platform or other users.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service in violation of any applicable law or regulation, including HIPAA.
- Share login credentials or allow unauthorized persons to access the Service.
- Attempt to gain unauthorized access to any part of the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload or transmit malicious code, viruses, or any harmful content.
- Use the Service to store or transmit content that infringes on intellectual property rights.
- Use the Service for any purpose other than managing medical practice operations.
- Resell, sublicense, or redistribute the Service without written consent.
5. Patient Data and HIPAA
You acknowledge that the Service will be used to store and process Protected Health Information (PHI) as defined by HIPAA. By using the Service:
- You agree to enter into a Business Associate Agreement (BAA) with Galy.
- You are responsible for obtaining appropriate patient consent for data storage and processing.
- You must ensure that only authorized personnel within your practice access patient data.
- You agree to use the Service in compliance with all applicable healthcare regulations.
- You acknowledge that Galy acts as a Business Associate under HIPAA.
Galy implements appropriate safeguards to protect PHI as described in our HIPAA Compliance and Security pages.
6. Subscription and Billing
The Service is offered on a subscription basis:
- Free Trial: New accounts receive a 1-month free trial with full access to features.
- Billing Cycle: After the trial period, subscriptions are billed monthly or annually based on your selected plan.
- Price Changes: We may adjust pricing with at least 30 days' written notice before your next billing cycle.
- Payment: You authorize us to charge your designated payment method for all fees due.
- Taxes: You are responsible for all applicable taxes associated with the Service.
- Refunds: Fees are generally non-refundable except as required by law or at our sole discretion.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Galy. and are protected by copyright, trademark, and other intellectual property laws.
- Our IP: Galy retains all rights to the platform, software, documentation, and branding.
- Your Data: You retain ownership of all patient data and practice information you enter into the Service.
- License to Us: You grant Galy a limited license to use your data solely to provide and improve the Service.
- Feedback: Any suggestions or feedback you provide about the Service may be used by Galy without obligation to you.
8. Limitation of Liability
To the maximum extent permitted by law:
- Galy shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability for any claim arising from the Service shall not exceed the amount you paid in the 12 months preceding the claim.
- Galy is not responsible for clinical decisions made using information in the platform.
- The Service is a practice management tool and is not a substitute for professional medical judgment.
- We do not guarantee uninterrupted or error-free operation of the Service.
9. Termination
Either party may terminate the subscription:
- By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
- By Us: We may suspend or terminate your access for violation of these Terms, non-payment, or if required by law.
- Data Export: Upon termination, you will have 30 days to export your data. After this period, your data will be deleted in accordance with our data retention policies and applicable regulations.
- Survival: Sections related to intellectual property, limitation of liability, and dispute resolution survive termination.
10. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved as follows:
- Informal Resolution: We encourage you to contact us first to resolve disputes informally.
- Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
- Jurisdiction: These Terms are governed by the laws of the State of California.
- Class Action Waiver: You agree to resolve disputes individually and waive any right to class action proceedings.
11. Changes to Terms
We may update these Terms from time to time. When we do:
- We will post the updated Terms on our website with a new effective date.
- For material changes, we will notify you via email or an in-app notification at least 30 days before the changes take effect.
- Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
- If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
